The Contract

The Contract shall exist between Wells and White and the client. The contract will include only those instructions written into the contract.

Additional Instructions

  1. Any additional instructions must be confirmed in writing and a price agreed for the additional work and materials before the work can proceed. Additional work, which may not be apparent when the estimate was provided, will be advised to the client on discovery, and a course of action agreed. This includes frame repairs hidden by upholstery.

Delivery

  1. Wells and White endeavours to deliver items forming part of this contract at the specified time. Our obligation is to deliver on time, provided the materials to complete the work are available. We will keep the client informed at all times of supply problems or other factors that can affect delivery times.

Removal of Old Covers

  1. All old covers will be removed prior to upholstery. These covers will be discarded unless the client advises they are to be returned, and this advice must be written into the order.

Compliance with Safety Regulations

  1. All new fillings applied to furniture manufactured after 1950 will comply with the Furniture and Furnishings (Fire) (Safety) Regulations 1988. All new covering fabric supplied by us will comply with the regulations, except for covers containing 75% natural fibres, where it is acceptable to use an interliner that complies with the regulations.

Surcharge on Client-Supplied Fabrics

  1. We reserve the right to apply a 15% surcharge for handling fabrics not supplied by ourselves.

Client’s Own Materials

  1. When a client supplies their own materials, it is their responsibility to ensure that the fabric is suitable for its intended purpose and complies with relevant Fire and Safety regulations (as described in clause 4).

Fabric Suitability

  1. We will advise customers on the suitability of fabrics, whether supplied by us or not; however, we can only take responsibility for materials supplied by us. Covering fabric supplied by the client is at their own risk. Shortage of covering fabric supplied by the client is the client’s responsibility, not ours.

Printed and Woven Fabrics

  1. Where printed and woven fabrics will not pattern match accurately, we will inform you for further instructions.

Fabric Deliveries

  1. Fabrics sent directly to us must have the client’s name clearly marked on the delivery note so we can check, on your behalf, that we have received the correct fabric.

Fabric Packaging Requirements

  1. Please request fabric companies to roll all fabric on tubes, with no more than one fabric per tube. One continuous length of fabric should be used unless extra is included for pattern matching. We will do our best to remove creases but cannot guarantee this.

Fabric Flaws

  1. We cannot be held responsible for fabric flaws. If we cannot cut around them, you will be notified.

Order Issues

  1. Any problems with an order, whether caused by the client or Wells and White, must be brought to our attention within seven days of receipt. Thereafter, charges will be made for any corrections. We are not responsible for charges if you have another company make corrections – you remain responsible for the original bill. Charges will be applied for corrections that are not our fault.

Repairs

  1. We reserve the right to apply a minimum charge of £50.00 to repair accidental damage not caused by ourselves.

Insurance Claims

  1. We undertake all work on behalf of the client named on the order. However, it is the client’s responsibility to pay the account. For insurance companies and insurance work, we will undertake the work with the understanding that the client will pay the account when it becomes due.

Insurance Payment Terms

  1. For work related to an insurance claim, 100% payment for materials and 50% payment for labour is required upon acceptance of the estimate, unless an agreement exists between us and the insurers to pay the account directly.

Rush Orders

  1. Rush orders will incur a surcharge of 20%.

Carriage

  1. Carriage is extra.

Complaints

  1. Complaints will be dealt with as quickly as possible, and successful resolution is our primary objective. Complaints that cannot be resolved may be referred to The Association of Master Upholsterers for arbitration. The Association may charge a fee for this service.

Payment Terms

  1. A minimum 50% non-refundable payment is required for us to accept an order. The balance is due on full delivery/collection. Interest on overdue accounts will be charged at 10% per month or part thereof. Prices quoted stand for three months.

Acceptance of Terms

  1. A minimum payment of 50% on signing of the contract will form acceptance of the terms and conditions above.

Storage

  1. The Company does not provide storage facilities.
  2. Any item delivered to or collected by the Company must be collected or delivered back to the client within 7 days from when they became ready for dispatch unless agreed otherwise.
  3. If the client fails to collect goods on the agreed date, the Company shall be entitled to compensation for storage of goods.
  4. A storage fee of £100 per month will be charged.
  5. Uncollected items will be kept for 30 days from when they became ready for dispatch. After 30 days, the item may be discarded, and the Company shall not be liable to the client for any loss or damage to the goods.
  6. If the Company keeps an uncollected item for longer than 30 days, a new storage fee of £100 will be added for each started month.
  7. The storage fee will be added to the total bill.

Transport

The Company cannot provide any means of transport. The company can arrange collection and delivery through a third-party removal firm for an additional fee. This is a separate contract between the customer and the removal firm, and Wells and White holds no liability.

By agreeing to these terms and conditions, you consent to us informing you about upcoming events and other company-related information/activities.
